Introduction

Lawyers and contract managers often reach the table with a strong reading of the law but no agreed mandate, no priced view of risk and no plan for conceding clause by clause, so indemnities, liability caps and settlement offers are traded away under time pressure. This Core Concept course builds legal negotiation skills: securing client instructions and authority, turning legal positions into priced risk trade-offs, negotiating contested clauses through redlines, handling without-prejudice settlement talks and dealing with opposing counsel and regulators. Participants produce a Legal Negotiation Plan and Term Concession Matrix for an energy contract.

Course Objectives

  • Obtain written client instructions that fix objectives, red lines and the limits of settlement and signing authority before talks open
  • Assess legal entitlements, evidential weaknesses and alternatives to agreement to set a defensible reservation point for a deal or claim
  • Convert liability, indemnity, warranty and termination exposure into priced trade-offs that can be exchanged across contract heads of terms
  • Negotiate contested clauses through redline commentary, issues lists and disciplined turns of draft with counterparty counsel
  • Conduct settlement discussions and regulator engagement using without prejudice protection while staying within professional conduct limits
  • Lead a negotiating team through a multi-round energy contract negotiation and close with an agreed term sheet

Day 3: Clause-Level Negotiation and Negotiating Through the Redline

Day 4: Energy Contracts, Settlement Talks, Regulators and Professional Conduct
